Provider Terms

This provider agreement follows the client’s stated provider, earnings, and payout model. Final legal documents should be reviewed by qualified legal counsel before launch.

1. Provider eligibility

Provider eligibility is subject to Vonnect approval and verification. Not every Vonnect user automatically qualifies to earn money from calls. Only eligible verified providers who satisfy Vonnect’s requirements may earn compensation from qualifying services. Approval is not guaranteed.

Potential providers may include content creators, social media influencers, athletes, musicians, entertainers, actors, public figures, media personalities, entrepreneurs, industry professionals, coaches or experts where permitted, and other approved personalities or professionals.

2. Identity verification

Providers must be approved before becoming eligible to earn compensation through Vonnect. Verification may include account information, identity information, required documentation, profile review, eligibility review, compliance review, payout onboarding, and additional information required by payment providers or applicable law.

Vonnect may reject, restrict, suspend, or revoke provider status when necessary to protect users, prevent fraud, enforce Vonnect policies, satisfy legal obligations, meet payment-provider requirements, address safety concerns, or address prohibited activity.

3. Provider responsibilities

Once approved, verified providers receive access to provider features. Providers must set the applicable video-call rate according to Vonnect’s available provider options, follow Vonnect’s Community Guidelines and Terms of Service, and complete video-call services in accordance with platform rules. The provider remains in control of whether to accept or decline each incoming call.

4. Go Online

Verified providers can turn on Go Online whenever they are ready to receive calls. While Go Online is active, eligible Vonnect users may initiate a video call. The provider can turn Go Online off whenever they are no longer available. Providers do not need to create a traditional appointment schedule for Vonnect’s primary calling service.

5. Lock In and provider control

Verified providers may Lock In selected users. A locked-in user may initiate a call to that verified provider even when the provider is not currently showing as online. Lock In is controlled by the verified provider. Lock In does not guarantee that every call will be answered. The provider still decides whether to accept, decline, or miss the incoming call. A provider may remove Lock In access according to Vonnect’s product rules. Vonnect may also restrict access where required for safety, policy, compliance, or legal reasons. Lock In should never override blocking, account suspension, safety restrictions, provider restrictions, or Vonnect enforcement actions.

6. Incoming calls and call acceptance

The provider receives the incoming call and may accept, decline, or miss the call. If the provider accepts, the video call begins. If a provider does not accept an incoming call and no eligible video-call service begins, the customer should not be charged for a completed call. This applies to Go Online and Lock In.

7. Video-call conduct and safety expectations

Providers must not offer prohibited services. Vonnect prohibits, at minimum, illegal goods or services, fraud, scams, impersonation, harassment, threats, hate-based abuse, exploitation, human trafficking, sexual services, paid sexually explicit interactions, pornographic services or content where prohibited, adult live-chat services, escort or prostitution services, illegal drug transactions, illegal weapons transactions, money laundering, peer-to-peer money transfers, unauthorized financial transactions, attempts to exchange Vonnect Minutes outside approved Vonnect functionality, attempts to convert customer Minutes into cash, attempts to use Vonnect as a money-transfer platform, payment circumvention, soliciting payment outside approved Vonnect processes for Vonnect services, prohibited goods or services, and illegal activity of any kind.

8. Pricing

Each eligible provider may have an applicable video-call rate displayed within Vonnect. Customers should be able to see the applicable rate before initiating a call. The same normal charging rules apply whether the user calls through Go Online access or Lock In access. Lock In itself should not be presented as money or stored value. Unless Vonnect specifically displays a different rate, the provider’s normal applicable video-call rate applies.

9. Earnings, platform/service fees, and taxes

Eligible verified providers may earn compensation from qualifying completed video-call services. Provider compensation is separate from customer Vonnect Minutes. Customers use Vonnect Minutes to access eligible services. Vonnect calculates eligible provider compensation separately. Provider earnings are recorded according to Vonnect’s provider terms.

Provider earnings may be affected by eligible call activity, call duration, applicable provider rate, platform/service fees, refunds, adjustments, disputes, fraud investigations, and other applicable terms. [INSERT TAX RESPONSIBILITY LANGUAGE TO BE FINALIZED BY COUNSEL.]

10. Payouts and payment-provider requirements

Eligible provider earnings may become available for payout after applicable requirements are satisfied. Payouts may be subject to identity verification, payout-account verification, payment-provider requirements, processing periods, applicable minimums, refunds, disputes, chargebacks, fraud review, account restrictions, compliance review, and applicable law. Vonnect may delay, restrict, or adjust payouts when necessary for fraud prevention, security, compliance, dispute resolution, refunds, legal obligations, or payment-provider requirements.

11. Refund and dispute adjustments

If a call is not accepted and no eligible video-call service begins, the customer should not be charged for a completed call. If an eligible call cannot successfully connect because of a verified Vonnect technical issue, or disconnects unexpectedly due to a technical issue, Vonnect may review the circumstances and make an appropriate adjustment. Provider earnings may be affected by those adjustments.

12. Account suspension and termination

Vonnect may restrict or terminate accounts for policy violations, fraud, safety concerns, payment issues, prohibited services, legal requirements, or other applicable reasons.
